All course fees are non-refundable, except where required by law or explicitly stated otherwise at the time of purchase.

4.3 AuthPlat (Book Publishing Platform)

AuthPlat operates on a subscription and/or usage-based model.

6. User Content

You retain ownership of all materials (“User Content”) you upload or create, including course materials or book manuscripts.

6.2 License to SkillUp Exchange

By submitting User Content, you grant SkillUp Exchange a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to host, store, format, reproduce, distribute, and display your content solely to operate and promote the Service.

6.3 Representations and Warranties

You represent and warrant that:

You are the creator or authorized licensee of the User Content.
Your content does not infringe or plagiarize any third-party rights.
Your content complies with all applicable laws and regulations.

6.4 Originality and No Plagiarism

You agree that:

You are solely responsible for the originality and accuracy of all content you upload.
Your submissions are not plagiarized and include proper rights and attribution.
We may use automated plagiarism detection systems and may remove or suspend content suspected of infringement or plagiarism.

7. AI-Assisted Editing and Disclaimer (AuthPlat)

The AuthPlat Platform may use automated tools, including AI Tools, to assist with editing, proofreading, or improving your work.

You acknowledge and agree that:

AI Tools are provided “as is” and may generate inaccurate or misleading results.
You are fully responsible for reviewing and approving all AI-edited content before publication.
SkillUp Exchange makes no representations regarding the accuracy or reliability of AI outputs and assumes no liability for any consequences arising from AI-generated or AI-assisted edits.
SkillUp Exchange may display a disclosure such as “Edited using AI-assisted tools” on published works.

8. Intellectual Property Rights

All rights, title, and interest in the Service, including software, design, and trademarks, are owned by SkillUp Exchange, Inc. or its licensors. You may not use SkillUp Exchange or AuthPlat trademarks without written permission.

9. Prohibited Conduct

You agree not to:

Upload or share unlawful, obscene, defamatory, or infringing content.
Impersonate others or misrepresent your affiliation.
Introduce viruses, bots, or malicious code.
Use the Service to spam or harass others.
Engage in any activity that disrupts or damages the Service.

10. Moderation and Removal of Content

SkillUp Exchange reserves the right to:

Review, remove, or disable access to any User Content that violates these Terms.
Suspend or terminate accounts engaged in repeat or serious violations.
Comply with DMCA and other legal takedown requests.

If your content is removed for alleged infringement, you may submit a Counter Notice under 17 U.S.C. §512.

12. Indemnification

You agree to defend, indemnify, and hold harmless SkillUp Exchange, its affiliates, officers, directors, employees, and licensors from all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

Your User Content (including plagiarism or IP infringement).
Your misuse of the Service.
Your reliance on or failure to verify AI-generated content.
Your violation of any law or third-party right.

This obligation survives termination of these Terms.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
SKILLUP EXCHANGE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICE OR AI TOOLS WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SKILLUP EXCHANGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.
OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT YOU PAID TO SKILLUP EXCHANGE IN THE 12 MONTHS PRIOR TO THE CLAIM, OR
- (B) USD $100.

15. Arbitration and Dispute Resolution

Except for specific exceptions below, all disputes arising under these Terms will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You and SkillUp Exchange waive the right to a jury trial and to participate in any class or representative action.

Opt-Out: You may opt out of arbitration within 30 days of first agreeing to these Terms by sending written notice to:

Exclusive jurisdiction for any permitted court proceedings lies in Sussex County, Delaware.

17. Termination

You may close your account at any time.
We may suspend or terminate your access for any reason, including breach of these Terms.
Upon termination, your right to use the Service ceases immediately.
Sections relating to intellectual property, warranties, liability, arbitration, and indemnity survive termination.

18. Product-Specific Terms

SkillUp Exchange

Nature: Cohort-based online courses.
Refund Policy: Generally non-refundable; exceptions may be specified for certain courses.
Eligibility: Minimum age 13.
Instructor Materials: Instructors grant SkillUp Exchange the right to host and display course content.

AuthPlat

Nature: Book and video creation and publishing SaaS with optional AI editing tools.
Refund Policy: 14-day refund window for eligible purchases.
Eligibility: Minimum age 18.
AI Use: AI editing tools are provided for convenience; authors retain full responsibility for their content and must verify final output before publication.

19. Modifications to These Terms

We may modify these Terms at any time.
Material changes will be announced via email or on our website and become effective upon posting.
Continued use of the Service after changes constitutes acceptance of the revised Terms.
